This Privacy Agreement ("Agreement") is entered into between Ninth Paddock creative, hereinafter referred to as "NPC," and any individual or entity accessing the Agency's website, hereinafter referred to as "The Client."

1. Confidential Information:

Ninth Paddock Creative (NPC) acknowledges that any and all information provided by the Client to procure information regarding creative services or consultation of creative work shall be deemed strictly confidential ("Confidential Information"). This includes but is not limited to project details, business strategies, proprietary ideas, and any other information exchanged between the Client and NPC.

2. Purpose of Information:

The Confidential Information provided by the Client shall be used solely for record-keeping purposes and for facilitating the provision of creative services or consultation. NPC agrees not to disclose, distribute, or sell the Confidential Information to any third party without the explicit consent of the Client, unless required by law.

3. Protection of Confidential Information:

NPC shall take all reasonable measures to safeguard the Confidential Information provided by the Client. This includes implementing appropriate technical and organizational measures to prevent unauthorized access, disclosure, alteration, or destruction of the Confidential Information.

4. Non-Use and Non-Disclosure:

NPC agrees not to use the Confidential Information for any purpose other than that which is expressly stated in this Agreement. NPC further agrees not to disclose the Confidential Information to any third party without the prior written consent of the Client.

5. Exceptions:

Notwithstanding the above, the obligations of confidentiality set forth in this Agreement shall not apply to any information that: (a) is or becomes publicly known through no fault of NPC; (b) is independently developed by NPC without reference to the Confidential Information provided by the Client; or (c) is rightfully obtained by NPC from a third party without breach of any confidentiality obligation.

6. Duration of Agreement:

This Agreement shall remain in effect indefinitely from the date of acceptance, unless terminated earlier by mutual agreement of the parties or as required by law.

7. Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of The United States of America, without regard to its conflict of laws principles.

8. Amendment and Severability:

This Agreement may be amended or modified only in writing and signed by both parties. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.

9. Entire Agreement:

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.

By accessing Ninth Paddock Creative's website and providing Confidential Information, the Client agrees to be bound by the terms of this Privacy Agreement.
